These Terms of Service ("Terms") constitute a legally binding agreement between you and Kobella Kade Ventures Pte. Limited ("Kobella," "we," "us," or "our"), governing your access to and use of the Kobella website, software, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
Kobella is a Software as a Service (SaaS) platform that provides tools for AI image creators to organize prompts, manage libraries, generate images, and optimize their creative workflows. The Service includes:
3.1 Account Creation: To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
3.3 Age Requirement: You must be at least 18 years old to use the Service. By using the Service, you represent that you are at least 18 years of age.
4.1 Subscription Tiers: Kobella offers multiple subscription tiers (Free, Creator, Pro, and Studio) with varying features and limits. Current pricing and features are available on our pricing page.
4.2 Billing: Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. By providing payment information, you authorize us to charge your payment method for all fees incurred.
4.3 Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.
4.4 Price Changes: We reserve the right to modify our pricing at any time. Price changes will not affect your current billing period and will take effect at your next renewal date. We will provide at least 30 days' notice of any price increases.

5.1 Your Content: You retain all rights to any content you create, upload, or store using the Service ("User Content"). By using the Service, you grant us a limited, worldwide, non-exclusive license to host, store, and display your User Content solely for the purpose of providing the Service to you.
5.2 Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent that you own or have the necessary rights to use and authorize us to use all User Content.

7.1 Service Ownership: The Service, including its software, design, text, graphics, and other content (excluding User Content), is owned by Kobella and is protected by copyright, trademark, and other intellectual property laws.
7.2 Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your personal or internal business purposes.
7.3 Restrictions: You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of the Service.
The Service may integrate with or provide access to third-party services, including but not limited to Midjourney and other AI image generation platforms. Your use of such third-party services is governed by their respective terms and conditions. We are not responsible for the availability, content, or practices of third-party services.
9.1 Availability: We strive to provide reliable Service, but we do not guarantee that the Service will be uninterrupted, error-free, or completely secure.
9.2 Modifications: We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
9.3 Maintenance: We may perform scheduled or emergency maintenance that may temporarily affect Service availability. We will make reasonable efforts to provide advance notice of scheduled maintenance.
10.1 Termination by You: You may terminate your account at any time by following the instructions in your account settings. Upon termination, your right to use the Service will immediately cease.
10.2 Termination by Us: We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms.
10.3 Effect of Termination: Upon termination, all licenses granted to you will immediately terminate. We may delete your User Content following termination, and we will not be liable for such deletion.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL KOBELLA, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS (USD $100), WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless Kobella and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
14.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
14.2 Jurisdiction: You agree that any dispute arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Singapore.
14.3 Informal Resolution: Before filing a claim, you agree to contact us at legal@kobella.ai to attempt to resolve the dispute informally.
15.1 Entire Agreement: These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and Kobella regarding the Service.
15.2 Modifications: We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after such modifications constitutes your acceptance of the modified Terms.
15.3 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.4 Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
15.5 Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
